5.1 Product Availability Products or services may be subject to limited quantities. Custom-made and personalized products require specific production times that vary according to technical specifications and supplier availability.
5.2 Delivery Times – Indicative Only All delivery times communicated by Hypervisual are provided for information purposes only and are NOT contractually binding. Actual delivery times depend on multiple factors beyond our control, including but not limited to:
- Manufacturing times by our suppliers and subcontractors
- Availability of raw materials and components
- International shipping delays
- Customs clearance procedures
- Transportation and logistics constraints
- Technical specifications and complexity of custom orders
5.3 Custom-Made and Personalized Products Products requiring customization or personalization involve extended and variable production times. The client acknowledges that such products cannot be subject to fixed or guaranteed delivery deadlines. Estimated delivery times for custom products may be extended without penalty for Hypervisual.
5.4 No Guaranteed Delivery Date Hypervisual does not guarantee any specific delivery date unless explicitly confirmed in a separate written agreement signed by both parties. In the absence of such written confirmation, no delivery deadline shall be considered contractually binding, regardless of any verbal communication or email exchange.
5.5 Production and Supply Chain Dependencies The client acknowledges and accepts that Hypervisual depends on third-party manufacturers, suppliers, and logistics providers located internationally (particularly in Asia). Delays from these third parties shall not constitute a breach of contract by Hypervisual.
5.6 Force Majeure and Unforeseeable Events Hypervisual shall not be held liable for any delay or failure to deliver resulting from circumstances beyond its reasonable control, including but not limited to:
- Supplier or manufacturer delays
- International transportation disruptions
- Customs delays or issues
- Natural disasters, epidemics, pandemics
- Labor disputes, strikes
- Technical failures or equipment breakdowns
- Regulatory changes or import/export restrictions
- Any other unforeseeable circumstances
5.7 Complete Exclusion of Liability for Delays Under no circumstances shall Hypervisual be liable for:
- Any direct or indirect damages resulting from delivery delays
- Loss of revenue, profits, or business opportunities
- Costs related to event cancellations or postponements
- Any consequential or incidental damages
- Penalties imposed by third parties on the client
The client waives any right to claim compensation, penalty payments, or contract termination based solely on delivery delays.
5.8 Client’s Obligation to Plan Ahead The client is solely responsible for placing orders with sufficient advance notice to accommodate potential delays. Orders placed with insufficient lead time are accepted at the client’s own risk.
5.9 Partial Deliveries Hypervisual reserves the right to proceed with partial deliveries without penalty if the complete order cannot be delivered within the expected timeframe.
5.10 Return and Exchange Policy Returns or exchanges are subject to our Return Policy (see dedicated section). Custom-made products cannot be returned or exchanged unless they present manufacturing defects.
